Description:

Gowling WLG is seeking a Senior Associate – Real Estate Finance to join our dedicated real estate finance team in Birmingham. This is an exciting opportunity to work on complex real estate investment, development, and financing transactions across major jurisdictions.

Our team combines banking, structured finance, and debt restructuring expertise with real estate, planning, and construction specialisms. We advise a diverse range of lenders, borrowers, and sponsors on both distressed and par debt trading transactions, as well as structuring and implementing loan-to-own strategies.

Key Responsibilities:

✔ Act for banks and financial institutions lending against property, including investment and development finance across all real estate asset classes.
✔ Act for a diverse range of borrowers and sponsors in the real estate market.
✔ Negotiate, review, and finalize loan agreements, debentures, mortgages, guarantees, deeds of priority, and subordination.
✔ Draft and settle deferred consideration and overage charges.
✔ Review and draft reports on title and certificates on title.
✔ Draft board minutes and corporate approvals.
✔ Manage conditions precedent to drawdown, coordinating with property and construction teams.

Candidate Requirements:

✔ Experienced Real Estate Finance Lawyer (Senior Associate level) with strong expertise in property funding and structured finance.
✔ Extensive experience in negotiating and drafting loan documentation for real estate transactions.
✔ Excellent technical legal skills, with a commercially focused approach.
✔ Ability to manage complex transactions with minimal supervision.
✔ Strong client management and business development skills.
✔ Excellent interpersonal and communication skills—you will represent Gowling WLG to high-profile clients.
