Description:

The Business & Legal Affairs Contract Manager will manage and own all parts of our contract process from contract drafting and negotiation, to contract set-up and storage, and monitoring contract compliance.

The role will provide advice and support for standard agreements including non-disclosure agreements; representation agreements; licence agreements; and as well as agreements for marketing services, retail services; independent contractors; and consultants  The Business & Legal Affairs Contract Manager will develop strong relationships with The Point’s commercial managers and its clients, and will act as a liaison between clients and licensees to ensure that deal terms are negotiated effectively, the detail of agreements made are accurate, and that compliance with each clients’ process is followed.

 

KEY RESPONSIBILTIES.

 

  • Draft, review, comment and negotiate on a variety of agreements including nondisclosure agreements, licence agreements, representation agreements, marketing and retail service agreements, consulting agreements, and others as may arise.
  • Serve as point-of-contact between Clients and Licensees on contractual matters.
  • Plan, direct, and coordinate the management of our contract tracking and filing system.
  • Work in coordination with Clients, our commercial managers, and Licensees to efficiently connect all stages of the contract process.
  • Ensure all necessary sign-offs/approvals have been received in connection with deals and according to each Client’s requirements.
  • Provide regular status reports, and other information related to contract activity, to The Point’s commercial team and Clients.
  • Develop and maintain template forms.
  • Communicate legal restrictions or requirements to all necessary parties across the organization and with Clients and Licensees.
  • Strategize with and advise the Leadership Team on business and legal affaris.
  • Work closely and collaborate with Finance, Sales, Product Development, and Marketing to provide information and business advice on a regular basis.
  • Assist in developing and administering policies and procedures.
  • Provide guidance and training on contracts and deal memo negotiation as needed.
  • Monitor contract compliance with established procedures

 

THE IDEAL CANDIDIATE.

 

·       Bachelor’s Degree; post graduate diploma in Law preferred but not required.

·       An in depth understanding of commercial contracts, with at least 6 years’ experience gained in a Contracts Manager or Business Affairs role.

·       Familiarity with and understanding of industry standards for licence agreements and representation agreements preferred.

·       Excellent verbal and written communication skills.

·       Ability to negotiate, establish, and administer contracts.

·       Confident facilitating discussions and negotiations among multiple parties.

·       Skilled at working with a sense of urgency in a deadline driven role.

·       Strong project management skills with the ability to efficiently prioritize and handle a high volume of documents at once in coordination with, and at the direction of, the commercial team and our Clients.

·       Exceptional attention to detail.

·       Proficient computer skills, Microsoft Office Suite (Word, PowerPoint, Outlook, and Excel).
