The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on corporate governance matters and leads and implements a world-class corporate governance practice throughout the Group.

 

The Head of Senior Managers and Certification Regime (SMCR) and Conduct will support the Global Head of RGRA with the implementation of an integrated Accountability Framework to help support strategic decision making in a simplified yet robust

manner. The role holder will maintain oversight of the framework and advise on the division of responsibilities between Group and its subsidiaries and Executives and Non-executives to help ensure effective connectivity and escalation.

In this role you will:

  • Oversee and act as a trusted advisor to Senior Managers across the Group assisting with their allocation of responsibilities and understanding of the legal and regulatory requirements relating to individual standards of conduct as prescribed by the Group’s
  • primary regulators. Provide strategic and practical advice to Senior Managers on regulatory matters concerning organizational changes such as corporate restructuring including merger and acquisition activity.
  • Act as a primary contact and trusted advisor for Senior Managers to help enhance their own governance arrangements and oversight and exercise their reasonable steps in keeping with the applicable policies including the bank’s risk appetite framework. In doing so, the role holder will provide best in class pragmatic advice to help achieve compliance with statutory duties and conduct, while fostering a culture of responsibility and control.
  • The individual will oversee compliance by all relevant UK entities, notably HSBC Holdings plc, HSBC Bank UK plc and HSBC Bank plc, with the SMCR and applicable Conduct rules to ensure that all relevant regulatory requirements are adhered to. The role holder is responsible for the review and assessment of management information prepared by the GSC related to areas of SMCR and Conduct that fall within their remit. The role holder will have authority to approve information sharing with key regulators and senior management as required.
  • The role holder will support the Global Head with external stakeholder engagement and will help serve as an interface between HSBC and the regulators - specifically the PRA and FCA - working closely with Regulatory Compliance among other internal stakeholders, to align messaging and manage responses to SMCR and Conduct related matters.
  • Oversee and manage resource requirements in keeping with service level expectations and standards for the Global Remuneration Governance and Regulatory Accountabilities (GRGRA) team to deliver the GRGRA service catalogue in an effective and efficient manner. Undertake ad-hoc governance and strategic projects on behalf of the Global Head of RGRA leveraging functional expertise as required.

 

Requirements

To be successful in this role you should meet the following requirements:

  • The ideal candidate will have a relevant experience (either within industry or regulatory). Degree level education ideally in a legal or financial related discipline.
  • Demonstrate strong regulatory / legal expertise with practical advice skills. Strong understanding of legal entity governance obligations.
  • Proven leadership, management and communication skills.
  • Proven ability to develop and maintain strong relationships at a senior leadership level.
  • Excellent analysis, design and problem-solving skills.
