The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on corporate governance matters and leads and implements a world-class corporate governance practice throughout the Group. The role holder will assist the Head of Governance, People and Remuneration in driving an end-to-end governance process to help ensure that the Holdings Board, Board Committees, and management structures (businesses, functions and geographies) are properly aligned to ensure that effective advice and guidance is provided to key stakeholders across the Group

In this role you will:
- Support the Head of Governance, People and Remuneration (‘GPR’) in the provision of first-class corporate governance advice to the Global Head of Remuneration Governance and Regulatory Accountabilities (‘RGRA’), Group Company Secretary and Chief Governance Officer (‘GCS&CGO’). Support the Head of GPR in the provision of advice and guidance to the Regional Company Secretaries on all relevant governance matters, providing both technical and practical advice in relation to applicable policies and frameworks within the Group and best practices in respect of remuneration and people governance related matters
- Regularly undertake research to help facilitate informed organisational decision-making through analysing and interpreting qualitative and quantitative data and evaluating industry trends. The role holder will approach research in collaborative manner which will help develop comprehensive reports and presentations that outline research findings and recommendations.
- Support the Head of GPR in the timely delivery of any actions or recommendations from the annual evaluations, including the development of a training programme for the Group members and documenting roles and responsibilities across relevant Board and management committees on risk and reward alignment. The role holder will support the Head of GPR lead the development of related formal corporate governance meeting planners, agendas and associated artefacts, and will help embed the governance Operating Rhythm for the Group, ensuring that HR is aligned with Group Executive Committee and Group Board practices.
- The role holder will support the Head of GPR with the responsibility for external stakeholder engagement and will help serve as an interface between HSBC and the investment community - specifically institutional investors and proxy advisors - working closely with Group Communications and Brand, Investor Relations, and HR to align external messaging and manage responses to remuneration and people governance related matters.
- Analyse, review and where needed distribute information on behalf of the Head of GPR including sensitive and confidential information to the correct areas under direction from the Head of GPR with the utmost discretion and professionalism. This will include the managing issues of a highly sensitive nature, prioritising and assigning tasks, where needed, and leveraging the skills in the function to formulate responses on behalf of the Head of GPR. Undertake ad-hoc governance and strategic projects on behalf of the Head of GPR leveraging functional expertise as required.
Requirements
To be successful in this role you should meet the following requirements:
- Qualified company secretary or qualified lawyer with relevant experience in governance, legal and/or regulatory positions.
- Financial services experience is preferred
- Detailed knowledge of directors’ duties in the financial services sector and experience building effective working relationships.
- Strong understanding of legal entity corporate governance obligations.
- Excellent analysis, design and problem-solving skills.
